Terms of Use

These Terms of Use (the "Terms") set out the rules that apply when you access or use the SkyscrapersInfo Website (the "Website"), operated by SKYSCRAPERS INFO LIMITED, a company incorporated in the Hong Kong Special Administrative Region of the People's Republic of China. Please read them carefully. Whether and to what extent your access or use gives rise to a binding contractual relationship depends on applicable law and on whether you have been given reasonable notice of, or have accepted, these Terms in an appropriate manner. Where the Operator relies on acceptance for a particular feature or transaction, that acceptance will be obtained through an explicit mechanism as set out in Section 2.

Section 01

Introduction and Legal Operator

These Terms of Use (the "Terms") govern your access to and use of the SkyscrapersInfo website (the "Website"), operated by SKYSCRAPERS INFO LIMITED, a company incorporated in the Hong Kong Special Administrative Region of the People's Republic of China ("Hong Kong", the "Operator", "we", "us" or "our").

For the avoidance of doubt, references to the "Website" include any subdomain, mobile or desktop application, application programming interface (API) endpoint, embed, widget, or other digital channel operated by the Operator that links to or presents these Terms.

These Terms should be read together with the Operator's Privacy Policy, Copyright Notice, Disclaimer, and any service-specific terms applicable to paid or commercial offerings made available through the Website. In the event of a conflict between these Terms and any separate written agreement you have entered into with the Operator, the separate written agreement will prevail with respect to the subject matter it covers.

Headings used in these Terms are for convenience only and do not affect their interpretation.

Section 02

Acceptance and Application of Terms

These Terms are intended to govern your access to and use of the Website. The Operator acknowledges that the existence and scope of any binding contractual relationship arising from your use of the Website depend on applicable law and on whether the Operator has given you reasonable notice of these Terms or obtained your acceptance in an appropriate manner. The Operator does not represent, and these Terms should not be read as asserting, that mere access to publicly available pages of the Website automatically creates an enforceable agreement to every provision of these Terms in every jurisdiction.

Where express acceptance is required for a particular feature, transaction, or service, the Operator will implement an explicit acceptance mechanism (such as a click-to-accept control, a checkbox, an order form, or a signed written agreement) before binding you to those specific terms. Future commercial transactions — including paid services, subscriptions, data licences, advertising, sponsorship, and partnership arrangements — will use suitable explicit acceptance mechanisms and may be governed by separate written agreements as set out below.

If you do not accept these Terms to the extent that they apply to you under applicable law, you should not access or use the portions of the Website to which those Terms are intended to apply.

Where you validly accept contractual obligations on behalf of an organization — through an appropriate mechanism such as a click-to-accept control, a checkbox, an order form, or a signed written agreement — you represent and warrant that you have the authority to bind that organization to the relevant obligations, in which case "you" refers to that organization. The mere fact that an individual views or browses a public page on behalf of an organization does not, by itself, constitute acceptance of these Terms on behalf of that organization.

These Terms apply to the freely accessible portions of the Website. Where the Operator makes paid services, subscriptions, advertising, data licences, partnership programmes, or other commercial offerings available, such offerings may be governed by a separate written agreement properly accepted by you. In the event of conflict, the separate written agreement prevails with respect to that offering, and these Terms apply only to matters not addressed by that agreement.

Mandatory consumer protection laws of your country of residence may apply to your use of the Website irrespective of any choice-of-law provision in these Terms. Nothing in these Terms is intended to override, exclude, or limit any such mandatory protection.

Section 03

Description of the Website

The Website is an international information and commercial platform dedicated to architecture, with a focus on skyscrapers and the built environment. Through the Website, the Operator may make available:

  1. editorial articles, news pieces, and reference entries about buildings, architects, projects, and the urban environment;
  2. structured building data, including objective factual information such as height, location, completion year, function, and architects;
  3. photographs, drawings, illustrations, and other visual materials, including images sourced from third parties and, in the future, possible user-contributed materials made available through properly accepted submission mechanisms (the Operator does not currently host a user community or accept public contributions, and any future user-contributed content will be subject to the framework set out in Section 9 and to applicable rights arrangements);
  4. search, comparison, and discovery tools relating to such information;
  5. commercial offerings such as data licences, advertising, sponsorship, partnership programmes, and other services that may be subject to separate written agreements.

The Operator may add, modify, restrict, or remove features, content, or services at any time, in whole or in part, without notice. The availability of any particular feature at any given time does not constitute a commitment to maintain it.

Section 04

Permitted and Prohibited Uses

You may consult publicly available information on the Website for personal, educational, journalistic and ordinary professional research purposes, in accordance with these Terms and applicable law. Limited incidental technical copying (such as automatic caching by your browser, or the quoting of short passages with appropriate attribution) is accepted as part of normal use of the Website.

You must not, and must not authorize any third party to:

  1. reproduce, redistribute, publicly display, perform, communicate, or commercially exploit any part of the Website or its content beyond fair dealing or any other mandatory exception under the copyright law applicable to you;
  2. use the Website or its content, in whole or in part, to train, develop, fine-tune, evaluate, or otherwise improve any artificial intelligence, machine learning, large language model, or similar system, or to create derivative datasets, without the Operator's prior written consent;
  3. bypass, circumvent, or attempt to bypass any technical measures used to protect the Website or its content, including authentication mechanisms, rate limits, geo-restrictions, captchas, and rights-management systems;
  4. access or attempt to access non-public areas of the Website, or probe, scan, or test the vulnerability of any system, network, or security measure associated with the Website;
  5. interfere with or disrupt the Website, its servers, or any connected networks, including by introducing viruses, malware, ransomware, or by imposing unreasonable load;
  6. use the Website in connection with any unlawful, infringing, harmful, deceptive, or fraudulent activity, or in any manner that could damage the Operator's reputation or goodwill;
  7. impersonate the Operator, any of its representatives, or any other person or entity, or misrepresent your affiliation with any person or entity;
  8. harvest or collect personal data of other users, or attempt to do so, without their consent;
  9. frame, mirror, or deep-link to the Website in a way that suggests endorsement by, or affiliation with, the Operator without the Operator's prior written consent;
  10. use any automated means to access or extract content from the Website, except as expressly permitted under Section 8 or under a separate written agreement with the Operator. The restrictions in this Section apply only to the extent supported by actual rights held by the Operator or its licensors, by any applicable enforceable agreement, and by relevant law, and do not override statutory copyright exceptions, third-party open-licence permissions, public-domain status, the lawful use of unprotected building facts, or any other non-waivable right that you enjoy under applicable law.

Section 05

Intellectual Property Rights

Elements of the Website made available by the Operator — including but not limited to the editorial text, original photography and video, graphic design, audio, software, source code, databases, compilations, logos, trademarks, and the selection, coordination, and arrangement of its content — are, to the extent so owned, owned by the Operator or its licensors and protected by copyright, database right, trademark, design right, and other applicable laws and international treaties. Copyright protection and ownership of any particular work depend on the nature of that work and on the chain of title; the Operator does not represent that it owns every element appearing on the Website. Third-party photographs, fonts, software, templates, and AI-assisted materials may carry independent rights histories and remain the property of their respective rights-holders, as further described in the Copyright Notice and the Licensing page.

Subject to your compliance with these Terms and applicable law, the Operator grants you a limited, revocable, non-exclusive, non-transferable, and non-sublicensable licence to access the Website, to view, download, and print individual pages, to make lawful use of publicly available information for personal, educational, journalistic, and ordinary professional research purposes, and to carry out limited quotation and technically necessary reproduction (such as automatic caching by your browser), provided that you keep intact all copyright notices and other proprietary markings on protectable elements and that you do not engage in unauthorized commercial exploitation of the Website or its content. Any other use — in particular the commercial reproduction, redistribution, public communication, or systematic extraction of protected photographs, video, editorial text, software, or original compilations — requires the prior written consent of the Operator or the relevant rights-holder.

The Operator's name, logo, and any product or service names, marks, or trade dress displayed on the Website are, to the extent used as trade marks, claimed as such by the Operator or its licensors. Registration of the "SkyscrapersInfo" mark is not represented as confirmed in any particular jurisdiction. Nothing in these Terms is intended to restrict lawful nominative references, criticism, news reporting, descriptive use, hyperlinks, or other uses of the Operator's name or marks that are permitted under applicable law without the Operator's consent, including for the purpose of referring accurately to the Website or the Operator. These Terms do, however, prohibit the use of the Operator's marks in a manner that is likely to cause confusion as to affiliation, sponsorship, or endorsement, or in any other manner that constitutes unlawful trade-mark use under applicable law.

All rights not expressly granted in these Terms are reserved by the Operator and its licensors. No implied licences are granted by these Terms.

For the avoidance of doubt, the protection granted by this Section extends only to legally protectable elements and does not claim ownership of bare architectural facts, which are addressed separately in Section 6. The restrictions in this Section apply only to the extent supported by actual rights held by the Operator or its licensors and by relevant law, and do not override statutory copyright exceptions, third-party open-licence permissions (including Creative Commons terms where applicable), public-domain status, the lawful use of unprotected building facts, or any other non-waivable right that you enjoy under applicable law. The Operator cannot, by these Terms, override permissions independently granted by a third-party rights-holder.

Section 06

Architectural Data and Informational Content

The Website compiles factual information about buildings and the built environment, including non-protectable facts such as a building's location, height, year of completion, function, the identity of its architect, and other objective data points. Such facts are not the exclusive property of the Operator and may be freely used by anyone, subject to the source-verification considerations set out in this Section.

The Operator's copyright and database rights, where they subsist under applicable law, extend only to: (a) the original selection, coordination, and arrangement of such facts; (b) the editorial expression accompanying them; and (c) original photographs, drawings, plans, and other creative works published on the Website. These Terms do not claim ownership of bare facts.

Where you use factual information drawn from the Website, you are responsible for independently verifying its accuracy and its suitability for your intended purpose. You must not present information taken from the Website as if it originated from your own independent research where such presentation would mislead a reasonable user.

Attribution obligations depend on applicable law and on the terms (if any) on which specific protectable material is made available. Where the Operator indicates a preferred citation format for protectable material, you are encouraged to follow it. Voluntary source citation is always welcome. Mandatory attribution applies only where (i) you reproduce protectable expression from the Website and applicable copyright law requires it, or (ii) a specific licence, label, or notice accompanying the material requires it. These Terms do not impose unconditional proprietary attribution requirements on freely usable facts.

Section 07

Third-Party Content and External Links

The Website may display content drawn from independent third parties, including but not limited to photographs, drawings, articles, comments, and links to external websites, applications, and other resources. The Website may also, in the future, display paid advertising or sponsored placements; the Operator does not represent that any advertising or sponsorship programme is currently active on the Website unless and until that has been confirmed by the Operator. Where paid advertising or sponsored placements do appear, they will be identified as such in accordance with applicable advertising, labelling, sponsorship-disclosure, and consumer-protection law.

With respect to independent third-party content, the Operator does not endorse and does not assume responsibility for: (a) the accuracy, legality, reliability, or completeness of such content; (b) the practices of any third-party website, application, or service accessed through a link on the Website, including their privacy, security, or data-handling practices; or (c) any goods, services, or materials offered by third parties.

With respect to paid advertising and sponsored placements, the Operator will label them clearly where they appear. The Operator does not endorse the substantive claims made in such content. Responsibility for the accuracy, lawfulness, and regulatory compliance of advertising or sponsored materials supplied by the advertiser or sponsor ordinarily rests with the advertiser or sponsor under the contract between them and the Operator. Nothing in this paragraph is intended to exclude or limit any responsibility of the Operator that cannot be excluded or limited under the mandatory law of your country of residence, including any publisher-side responsibility that may apply under that law.

Your dealings with third parties — including independent content providers, advertisers, and sponsors — are solely between you and the third party. The Operator will not be a party to any such dealings and accepts no liability arising out of them, except as required by applicable law. Rights in third-party content remain with the respective rights-holders, and any use of such content beyond what is permitted by these Terms or by applicable law requires the consent of the rights-holder concerned.

Section 08

Automated Access and Bulk Extraction

You must not use any automated system, including robots, spiders, scrapers, crawlers, browser plug-ins, scripts, or similar tools, to access the Website or to extract, index, mirror, cache, or copy its content, except in either of the following cases:

  1. access made through generally available search engines that respect the Operator's robots.txt file and applicable meta directives, and that do not place an unreasonable load on the Website's infrastructure; or
  2. access made under a separate written agreement with the Operator, including API access, data licences, or commercial partnerships.

For the avoidance of doubt, the Operator's robots.txt file and similar technical signals express the Operator's preference regarding automated access. They do not, by themselves, create copyright ownership over the underlying content, nor do they constitute, on their own, a binding contractual offer or consent that could override applicable law.

The Operator may, at any time and in its sole discretion, apply technical measures (such as rate limits, captchas, IP blocks, or similar mechanisms) to detect and restrict automated access that, in the Operator's reasonable assessment, exceeds normal use of the Website, interferes with its operation, or is inconsistent with these Terms. Such measures are aimed at protecting the Website against abusive traffic, unauthorised system access, and security attacks. The Operator may apply them without prior notice and without liability to you, except where such restriction is prohibited by applicable law. Nothing in this Section is intended to restrict lawful automated access permitted by Section 8 (item 1), by a separate written agreement with the Operator, or by any non-waivable right under applicable law.

The Operator reserves the right to monitor access patterns and to take appropriate action, including suspension or restriction of access, where it reasonably believes that automated access is being used to extract content in breach of these Terms or to the detriment of the Website's operation, its users, or its commercial interests.

Any attempt to circumvent such technical measures is prohibited and may, depending on the jurisdiction, violate laws on the circumvention of technological protection measures and on unauthorized access to computer systems.

Section 09

User Submissions

Current status. The Website does not currently host public submission features such as user accounts, comment systems, upload interfaces, contributor dashboards, community-membership programmes, or a public licensing marketplace. This Section is therefore written in conditional, future-facing terms: it sets out the framework that will apply if and when such features are launched through a properly accepted submission mechanism, and it does not by itself grant the Operator any rights in relation to materials that you have not in fact submitted through such a mechanism. For information on how the Operator currently treats any communications you may send, please refer to the Privacy Policy and the Community Guidelines.

This Section does not apply to private communications that you may send to the Operator through channels such as email, postal mail, or any future contact form on the Website. Such communications are processed in accordance with the Privacy Policy, and this Section does not grant the Operator any licence or other rights in such communications.

In this Section, "User Submissions" means text, images, audio, video, comments, ratings, suggestions, corrections, or other materials that you submit, upload, post, or otherwise transmit through public submission areas of the Website, where such areas are made available by the Operator and where you have been presented with, and have properly accepted, the applicable terms at the point of submission.

You keep your copyright. You retain all copyright and any other intellectual-property rights that you already hold in your User Submissions. Nothing in this Section transfers or assigns your copyright to the Operator, and the Operator does not claim ownership of your User Submissions by virtue of their appearance on the Website. The Operator will identify you as the author of your User Submissions where reasonably practicable and where you have not requested anonymity.

Limited technical licence to operate the service. Where User Submissions are made through a submission mechanism properly accepted by you, you grant the Operator a limited, revocable, non-exclusive, non-transferable, and non-sublicensable licence to do only what is reasonably necessary to operate that feature and the Website in relation to your User Submissions. This technical licence is limited to: (a) hosting, storing, and technically processing the User Submissions on the Operator's or its technical processors' infrastructure; (b) transmitting, displaying, and otherwise making the User Submissions available to the audiences for which the relevant feature is designed; (c) ordinary technical formatting, resizing, encoding, and adaptation required to deliver the feature; (d) content moderation, lawful security review, and the investigation of suspected breaches; and (e) the technical acts (such as hosting, caching, content delivery, and processing) carried out on the Operator's behalf by technical processors engaged by the Operator under appropriately established confidentiality and data-processing arrangements, where this is reasonably necessary to operate the feature. Such technical processing is carried out on behalf of the Operator and does not grant the relevant processor any independent right to commercially exploit, sublicense, syndicate, or use your User Submissions for its own purposes. The technical licence is proportionate to the operation of the feature and exists only for as long as is reasonably necessary for that purpose.

What the technical licence does not include. The technical licence is limited to what is reasonably necessary to operate the feature and the Website in relation to your User Submissions, as described in the paragraph immediately above. The technical licence does not include, and the Operator does not claim, the right to: (a) sell, license, or otherwise commercially exploit your User Submissions, including to image libraries, advertisers, sponsors, real-estate developers, architectural publications, or other third parties; (b) syndicate, redistribute, or sublicense your User Submissions to external platforms, publications, or partners; (c) use your User Submissions for the training, development, fine-tuning, evaluation, or improvement of any artificial-intelligence, machine-learning, large-language-model, or similar system, or to create derivative datasets; (d) use your User Submissions in paid advertising, sponsored content, or marketing campaigns; (e) modify, adapt, translate, or create derivative works of your User Submissions beyond the ordinary technical adaptation referred to above; or (f) assert any perpetual, irrevocable, worldwide, or royalty-free commercial rights beyond what is strictly necessary to operate the feature. The Operator may, however, make any of the additional uses listed in items (a) to (f) if, and only if, separate, explicit, and properly documented permission is obtained from you in advance. Such permission may be obtained either at the point of submission, through a distinct and informed opt-in that is clearly separate from any acceptance of these Terms, or later, through an appropriate separate agreement or other valid consent mechanism proposed by the Operator after submission. The relevant permission must be obtained before the additional use begins. In the absence of such permission, the limited technical licence set out in this Section does not authorise the commercial uses, independent AI training, syndication, or unrelated sublicensing described in items (a) to (f).

Separate consent for commercial reuse. If the Operator wishes to make commercial use of your User Submissions beyond the limited technical licence set out above — for example, by including a contributor photograph in a paid editorial product, licensing it to a third-party publication, or offering it through a future licensing programme — the Operator will request a separate, explicit consent from you, identifying the specific use, scope, territory, duration, and any consideration involved. Such additional permission may be obtained either: (i) at the point of submission through a distinct, informed opt-in that is clearly separate from any acceptance of these Terms; or (ii) later, through an appropriate separate agreement or consent mechanism proposed by the Operator after submission. In either case, the relevant permission must be properly obtained before the additional use begins, and no such commercial use will be made in the absence of that permission.

Copyright assignment is a separate transaction. The Operator does not require, and will not assume, a transfer or assignment of your copyright in your User Submissions as a condition of submitting them to the Website. Any future assignment of copyright, if it is ever appropriate, will be the subject of a separate written agreement properly executed by both parties and will identify the specific works, scope, territory, duration, and consideration involved. No assignment will be implied from the act of submission alone.

Moderation, removal and protection of your rights. The Operator may, but is not obliged to, monitor, edit, hide, remove, or refuse to publish any User Submission, including in response to reports received through the Community Guidelines or applicable law. The Operator will, where lawful and reasonable, take reasonable steps to respect any reasonable request by a contributor to be identified, to remain anonymous, or to have their User Submission removed, subject to the Operator's legal and operational obligations. Statutory copyright exceptions, fair-dealing rights, database-right exceptions, and other non-waivable rights that you enjoy under applicable law are not affected by this Section.

Your representations and warranties. Where you make User Submissions, you represent and warrant that:

  1. you own the User Submissions or have the necessary rights to submit them and to grant the limited technical licence set out in this Section;
  2. the User Submissions do not infringe the rights of any third party, including copyright, trademark, database right, design right, privacy, personality, or publicity rights;
  3. the User Submissions do not contain unlawful, defamatory, obscene, harassing, hateful, or otherwise objectionable material, and do not promote violence or discrimination; and
  4. the User Submissions do not contain confidential information belonging to others and do not expose any individual to whom they relate to a risk of harm.

The Operator does not endorse any User Submission and accepts no liability for User Submissions or for any loss or damage arising out of them, except as required by applicable law. Where personal data is contained in your User Submissions, the Operator will process it in accordance with the Privacy Policy, and any necessary data-processing arrangements with the Operator's service providers will be put in place in line with applicable law.

Section 10

Website Availability

The Operator will use reasonable efforts to make the Website available. However, the Operator does not guarantee uninterrupted, timely, secure, or error-free operation.

The Website may be unavailable, restricted, or limited in whole or in part from time to time due to:

  1. planned or emergency maintenance, updates, or upgrades;
  2. technical failures, including failures of internet, hosting, telecommunications, or third-party service providers;
  3. updates to the Website, its content, or its features;
  4. compliance with applicable laws, court orders, or regulatory or governmental requests; or
  5. events beyond the Operator's reasonable control, including force majeure, denial-of-service attacks, and actions of third parties.

The Operator may change, suspend, or discontinue any feature, function, or portion of the Website at any time, in whole or in part, without notice and without liability to you, except where such restriction is prohibited by applicable law.

↑ Back to contents Section 10 of 18
Section 11

Disclaimers and Warranties

To the maximum extent permitted by applicable law, the Website and all content, materials, and services made available through it are provided on an "as is" and "as available" basis, without any representation, warranty, or condition of any kind, whether express, implied, or statutory.

Without limiting the foregoing, the Operator expressly disclaims all warranties and conditions of any kind, including:

  1. warranties of merchantability, fitness for a particular purpose, non-infringement, and quiet enjoyment;
  2. warranties that the Website will be uninterrupted, secure, or free of viruses, malware, or other harmful components;
  3. warranties as to the accuracy, completeness, currency, reliability, or suitability of any content, including architectural data, photographs, drawings, editorial commentary, and user submissions; and
  4. warranties arising from course of dealing, course of performance, or usage of trade.

The Operator does not warrant that any defects will be corrected, that the Website or the servers that make it available are free of harmful components, or that the Website will otherwise meet your requirements.

Nothing in these Terms is intended to exclude or limit any warranty, condition, or guarantee that cannot be excluded or limited under the mandatory law of your country of residence. This includes, for users accessing the Website from Hong Kong, the protections afforded by the Control of Exemption Clauses Ordinance (Cap. 71) of Hong Kong, and, for consumers generally, statutory consumer guarantees that apply to the supply of goods, digital content, or services, together with any other non-excludable rights under the law of the user's habitual residence.

↑ Back to contents Section 11 of 18
Section 12

Limitations of Liability

To the maximum extent permitted by applicable law, in no event will the Operator, its affiliates, directors, officers, employees, agents, contractors, or licensors be liable for any:

  1. indirect, incidental, special, consequential, exemplary, or punitive damages;
  2. loss of profits, revenue, business, goodwill, anticipated savings, data, or use; or
  3. damages resulting from your inability to access or use the Website,

even if the Operator has been advised of the possibility of such damages, and regardless of whether the claim is based on contract, tort (including negligence), statute, equity, or otherwise.

Where liability cannot be excluded, any liability of the Operator and its affiliates arising out of or relating to these Terms or to the Website will be limited, in each case, to the maximum extent permitted by the mandatory law of your country of residence. For users accessing the Website from Hong Kong, the Control of Exemption Clauses Ordinance (Cap. 71) governs the validity and enforceability of contractual terms that exclude or restrict civil liability — including the application of the reasonableness test to such terms — but it does not, of itself, prescribe a single universal monetary cap applicable to all claims or all users. Whether a particular limitation is enforceable will depend on the circumstances and on the requirements of applicable law.

These Terms do not set, and the Operator does not propose, a fixed monetary cap applicable to all users and all claims. The appropriate treatment of any claim depends on the applicable law, the nature of the claim, and whether the claim relates to free informational access or to a paid service. Any monetary cap (including a cap expressed as an amount paid in a defined preceding period) will, where appropriate, be set out in a separate written agreement that you have properly accepted in respect of a specific paid service, and will remain subject to review by Hong Kong counsel and to compliance with the mandatory law of your country of residence.

Nothing in these Terms is intended to exclude or limit liability that cannot be excluded or limited under the mandatory law of your country of residence, including liability for: (i) death or personal injury caused by negligence; (ii) fraud or fraudulent misrepresentation; (iii) wilful misconduct or gross negligence, where such liability cannot be excluded; or (iv) any other liability that applicable law deems non-excludable.

↑ Back to contents Section 12 of 18
Section 13

Indemnification

To the extent permitted by applicable law, you agree to indemnify the Operator and its affiliates, directors, officers, employees, and agents against third-party claims, damages, losses, liabilities, costs, and reasonable expenses (including reasonable legal fees) to the extent that those losses and third-party claims are properly attributable to, and arise from: (a) your material breach of these Terms; (b) your wilful misconduct or gross negligence in connection with the Website; (c) your infringement of the intellectual property, privacy, personality, or other rights of any third party; (d) your unlawful conduct in connection with the Website; or (e) your User Submissions where you have breached the representations and warranties given in Section 9.

This Section is intended to address losses and third-party claims that are properly attributable to your conduct. It is not intended to impose disproportionate obligations on ordinary visitors who simply consult publicly available information on the Website, and it does not operate to shift liability for matters that are the responsibility of the Operator.

The Operator will manage third-party claims as follows: (i) the Operator will notify you in writing of any indemnifiable claim without undue delay after becoming aware of it; (ii) you may, at your expense, participate in the defence and settlement of the claim through counsel of your choosing reasonably acceptable to the Operator; (iii) the Operator will provide reasonable cooperation in the defence of the claim, the reasonable out-of-pocket cost of which cooperation you will bear where the cooperation is requested by you or your counsel; and (iv) no settlement that imposes any obligation, admission of liability, or unindemnified payment on the Operator may be made without the Operator's prior written consent. The Operator reserves the right, at your expense where an indemnifiable claim is established, to assume the exclusive defence and control of any matter for which you are required to indemnify the Operator.

Nothing in this Section is intended to require you to indemnify the Operator against liability that is properly attributable to the Operator's own wrongdoing — including the Operator's own negligence, wilful misconduct, fraud, or breach of applicable law — where such indemnification is prohibited or would be unreasonable under the mandatory law of your country of residence, including consumer protection laws that apply to your use of the Website.

Section 14

Suspension and Restrictions of Access

The Operator may, at its sole discretion and without prior notice, suspend, limit, or terminate your access to all or part of the Website if:

  1. you breach, or the Operator reasonably suspects you have breached, these Terms;
  2. your use of the Website creates, or is likely to create, a security, operational, or legal risk for the Operator, other users, or third parties;
  3. the Operator is required to do so by applicable law, by a court order, or by a competent governmental, regulatory, or law-enforcement authority;
  4. the Operator discontinues the Website, in whole or in part; or
  5. any other circumstance justifies such action in the Operator's reasonable assessment.

Where lawful and appropriate, the Operator will provide you with a reason for the suspension and an opportunity to remedy the breach, except where doing so would compromise the Operator's legitimate interests, interfere with an investigation, or be contrary to applicable law.

Suspension or termination does not affect any rights or obligations that have accrued before the effective date of suspension or termination. Sections 5, 11, 12, 13, 15, 16, and 18 will survive any such suspension or termination, together with any other provision of these Terms which, by its nature, is intended to survive.

↑ Back to contents Section 14 of 18
Section 15

Governing Law and Dispute Resolution

These Terms, and any non-contractual obligations arising out of or in connection with them, are governed by, and construed in accordance with, the laws of Hong Kong.

The Operator selects the laws of Hong Kong as the base contractual regime for the operation of the Website. Nothing in this Section is intended to deprive you of the protection afforded by the mandatory provisions of the consumer protection laws of your country of residence. Where such mandatory provisions apply, they will prevail over any conflicting term of these Terms, to the extent of the inconsistency.

The parties will first attempt to resolve any dispute arising out of or relating to these Terms or the Website through good-faith negotiations. If the dispute is not resolved within a reasonable period after written notice from one party to the other (the duration of which is indicative rather than mandatory, and which will not apply where a shorter or longer period is required by the mandatory law of your country of residence), either party may submit the dispute to the competent courts of Hong Kong, save that, where mandatory law requires, a consumer may bring proceedings in the courts of the consumer's place of residence.

Nothing in this Section is intended to shorten or extend any statutory limitation period that would otherwise apply to a claim, or to deprive you of any mandatory legal remedy (including consumer remedies, injunctive relief, or actions before a competent consumer-protection body) available under the law of your country of residence.

Notwithstanding the foregoing, the Operator may seek interim or injunctive relief in any competent court to protect its intellectual property, confidential information, or other legitimate interests, including to enforce Section 4, Section 5, or Section 8.

↑ Back to contents Section 15 of 18
Section 16

Severability and Enforceability

If any provision of these Terms is held by a court or other competent authority to be invalid, illegal, or unenforceable, that provision will, to the extent of such invalidity, illegality, or unenforceability, be deemed severable and will not affect the validity, legality, or enforceability of the remaining provisions.

The failure of the Operator to enforce any right or provision of these Terms will not constitute a waiver of such right or provision, unless expressly acknowledged in writing by an authorized representative of the Operator.

No single or partial exercise of any right, power, or remedy under these Terms will preclude any other or further exercise of that or any other right, power, or remedy.

Amendments and Effective Date

The Operator may amend these Terms from time to time to reflect changes in the Website, in applicable law, or in the Operator's practices. The amended Terms will take effect as of the date indicated at the top of this page (the "Effective Date"), subject to applicable law.

For material changes, the Operator will use reasonable efforts to provide appropriate notice through the Website or through other channels reasonably available to the Operator, such as the contact details you have provided. Where a material change would affect the legal basis on which you use the Website, the Operator will, where required by applicable law, request your express consent before the change takes effect for you.

Continued access to or use of the Website after the Effective Date of an amendment does not, by itself, constitute acceptance of that amendment where applicable law requires express consent. Where express consent is required, the Operator will not replace it with deemed acceptance. If you do not accept an amendment that applies to you, you should stop accessing and using the Website to the extent that the amendment is intended to apply to you.

The version of these Terms that was in force at the time of the relevant act, omission, or transaction will, subject to applicable law, govern that act, omission, or transaction. Amendments apply prospectively only and will not be applied retroactively to conduct or completed transactions that took place before the Effective Date of the amendment, unless retroactive application is required by applicable law.

Contact Information

The contact page on the Website is currently an informational page. The Operator does not represent that the contact form (or any other channel referenced on it) is currently accepting operational messages, and submission of a message through the page does not, by itself, create or confirm receipt by the Operator, nor does it create any obligation to acknowledge or respond within a stated timeframe. Until operational receiving arrangements are verified by the Operator, this Section does not identify any live email inbox, mailing address, agent, or department for the submission of general enquiries, licensing requests, or formal legal notices. Any operational channels confirmed in the future will be described in an updated version of this Section.

Copyright complaints. Notices relating to alleged copyright infringement are handled under the framework described on the takedown page, which sets out the existing Draft copyright-complaint procedure. The takedown page is, and is represented to be, a copyright-complaint channel only. It is not, and is not represented to be, a general legal-notice intake or a substitute for any statutory method of serving documents.

Formal legal notices — general. Formal legal notices other than copyright complaints — including notices relating to suspension, contractual matters, court documents, regulatory communications, statutory demands, and any other formal communication that requires service in a legally effective manner — are governed by applicable law and by any valid written agreement between you and the Operator. Such notices are not automatically routed through, and need not be submitted to, the takedown page, because the takedown page is limited to the copyright-complaint framework described above. Where a written agreement sets out a notice procedure, that procedure applies to the extent that it is valid under applicable law. Where no such procedure applies, the statutory methods of service available under the law of your country of residence, including under the law governing the Operator's incorporation, apply.

Hong Kong statutory service of documents. The Operator is incorporated in the Hong Kong Special Administrative Region. Under section 827 of the Companies Ordinance (Cap. 622) of Hong Kong, a document may be served on a company incorporated in Hong Kong by leaving it at, or sending it by post to, the company's registered office. The Operator acknowledges that this statutory method of service exists independently of these Terms and of any operational channel that may be described on the Website. The absence of a dedicated legal-notice inbox, department, or website intake mechanism does not invalidate, restrict, or displace this or any other statutory method of service available to you under applicable law. The registered office is not necessarily a dedicated customer-support department, but its statutory service function under the Companies Ordinance (and any equivalent provision of the law of your country of residence) is preserved.

No additional voluntary service-level commitment. The Operator does not, in these Terms, promise any additional voluntary acknowledgement, processing, or response service level for formal legal notices beyond what is required by applicable law or by a valid written agreement. Nothing in these Terms is intended to shorten, extend, or otherwise affect any deadline, limitation period, or procedural requirement imposed by applicable law on the service, acknowledgement, or adjudication of a legal notice. No email address, mailing address, department, agent, or processing workflow that has not been verified and publicly identified by the Operator is, by these Terms, designated or implied as a channel for the submission of formal legal notices.

The Operator's registered office, company registration details (including any Hong Kong Business Registration Number (BRN) or Unique Business Identifier (UBI)), and any dedicated legal-contact channels will be identified in an updated version of these Terms once they have been verified by the Operator. Where such details are published, they are provided for general identification and transparency; they do not, by themselves, designate the registered office as a dedicated legal-notice receiving channel, and they do not displace any statutory method of service available to you under applicable law.

Communications sent by the Operator to you may be delivered through the Website, by email, or by any other means the Operator considers appropriate, having regard to the nature of the communication and the contact details you have provided.

For information about how the Operator processes personal data in connection with the Website, please refer to the Privacy Policy available on the Website.
